1. Introduction / Acknowledgment
Welcome to LEETA’s Terms and Conditions. LEETA is actively engaged in the Liquefied Petroleum Gas (LPG) ecosystem and committed to expanding energy trade access in a safe, reliable, and transparent manner.
For the purpose of this agreement:
- "Platform" refers to LEETA’s website, mobile application, and any other digital or trade services we provide.
- "Services" refers to the LPG-related trade, distribution, and energy access solutions offered through our Platform.
- The terms "LEETA," "we," "our," and "us" refer to the Company.
- "You" refers to you, the user, accessing or using our Platform or Services.
The following Terms apply when you access or use our Services via our website, through our mobile application, or by any other means provided by LEETA. By using our Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms as well as our Privacy Policy. If you disagree, you must discontinue use of our Services immediately.
We may update or modify these Terms at any time by posting the revised version on our Platform. Any changes will not affect rights or obligations that arose prior to the effective date of the updated Terms. Your continued use of our Platform or Services after changes are posted constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically. If you do not agree with any updated Terms, your sole remedy is to discontinue use of our Services.
2. Account Registration & Eligibility
To access and use LEETA’s Services, you must first register for an account on our Platform. By registering, you agree to provide accurate, complete, and up-to-date information as requested during the sign-up process and to keep such information current at all times.
2.1 Eligibility
You must be at least 18 years of age and a resident of Nigeria to register for and use the Services. By creating an account, you represent and warrant that you meet these requirements and are legally capable of entering into binding agreements under applicable law.
2.2 Account Credentials
When you create an account, you will establish a unique username and password. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
- You agree to notify LEETA immediately of any unauthorized use of your account or password.
- LEETA shall not be liable for any losses, damages, or liabilities arising from unauthorized access to your account resulting from your failure to safeguard your credentials.
2.3 Required Information
As part of the registration process, you must provide the following information:
- For Consumers:
- Phone number
- Full name
- Gender
- Date of birth
- Delivery address
- For Vendors:
- Phone number
- Business name
- Full name
- Gender
- Business registration number
By providing this information, you consent to LEETA collecting, storing, and processing your data in accordance with our Privacy Policy.
2.4 Accuracy of Information
You represent and warrant that all information provided during registration is accurate and truthful. LEETA reserves the right to suspend or terminate your account if false, misleading, or incomplete information is supplied.
3. Use of Services / User Obligations
By accessing or using LEETA’s Platform and Services, you agree to comply with the following obligations and restrictions:
3.1 Permitted Use
You may use our Services solely for lawful purposes related to the purchase, supply, or distribution of LPG and related energy trade services.
3.2 Prohibited Use
You agree that you will not, under any circumstances:
- Access or use the Services for any reason other than their intended lawful purpose in connection with LPG and related energy trade transactions.
- Use the Services for any unlawful purpose or to promote illegal activities.
- Harass, abuse, or harm another person or group through the Platform.
- Misrepresent your identity, provide false information, or use another user’s account without authorization.
- Intentionally allow another user to access your account.
- Collect, harvest, or solicit personal data from other users without their explicit consent.
- Distribute, copy, or exploit any part of the Platform without LEETA’s prior written permission.
- Interfere with or attempt to disrupt the proper functioning of the Services or related systems.
- Make automated use of the Platform (including bots, spiders, or crawlers) except as permitted by public search engine indexing.
- Circumvent or disable security-related features of the Platform, including those that restrict or prevent copying or data scraping.
- Upload, publish, or link to malicious content, including viruses or harmful code, that is intended to damage or disrupt another user’s device or access to the Services.
3.3 User Responsibility
You are responsible for:
- Ensuring your use of the Services complies with all applicable laws and regulations in Nigeria.
- Keeping your account secure and your information accurate.
- Any activity that occurs under your account, whether authorized by you or not.
4. User Content
4.1 Responsibility for Content
You are solely responsible for any content, information, or materials ("User Content") that you upload, post, or otherwise make available through the Service, including product listings, descriptions, reviews, images, or communications with other users.
4.2 License Grant
By submitting User Content to the Service, you grant LEETA a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, display, and adapt such User Content solely for the purpose of operating, promoting, and improving the Service.
4.3 Prohibited Content
You agree not to post or share any User Content that is unlawful, false, misleading, defamatory, offensive, obscene, or that infringes on any intellectual property or proprietary rights of others.
4.4 Removal of Content
LEETA reserves the right, but not the obligation, to review, monitor, or remove any User Content at its sole discretion, without notice, if such content is deemed inappropriate, violates these Terms, or is otherwise harmful.
4.5 Disclaimer
LEETA does not endorse or guarantee the accuracy, reliability, or legality of any User Content posted by users. Any use of or reliance on such content is at your own risk.
5. Payments and Fees
5.1 Registration Fees
Users may be required to pay a one-time or recurring registration fee to access certain features of the Services. By registering, you agree to pay all applicable fees as communicated to you during the registration process.
5.2 Transaction Fees
LEETA may charge a transaction fee or commission for payments made between consumers and vendors through the Platform. All such fees will be disclosed to you before completion of the transaction.
5.3 Payment Processing
All payments made through the Platform are processed via third-party payment providers. LEETA is not responsible for any delays, errors, or failures caused by these third-party services, but we will make reasonable efforts to support users in resolving payment issues.
5.4 Non-Refundable Fees
Unless otherwise stated, registration fees and transaction fees are non-refundable.
5.5 Changes to Fees
LEETA reserves the right to modify registration fees, transaction fees, or other charges at any time. Any changes will be communicated through the Platform, and continued use of the Services after such changes constitutes acceptance of the updated fees.
6. Privacy & Data Protection
6.1 Privacy Policy
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, disclose, and safeguard your personal information. By using the Services, you agree to the terms of our Privacy Policy.
6.2 Information Collection
In order to provide our Services, LEETA may collect certain personal and business information, including but not limited to your name, phone number, gender, date of birth, delivery address, and (for vendors) business registration details.
6.3 Use of Information
We use this information to:
- Provide and improve our Services.
- Facilitate transactions between consumers and vendors.
- Verify identities and maintain account security.
- Comply with applicable laws and regulations.
6.4 Data Security
We implement reasonable administrative, technical, and physical safeguards to protect your personal data. However, you acknowledge that no method of transmission over the Internet or method of electronic storage is completely secure, and LEETA cannot guarantee absolute security.
6.5 User Responsibility
You are responsible for maintaining the confidentiality of your account information and for restricting access to your devices. LEETA is not responsible for the unauthorized disclosure of your personal data caused by your negligence or misuse of the Services.
6.6 Legal Compliance
LEETA will process personal data in compliance with applicable data protection laws and regulations in Nigeria, including the Nigeria Data Protection Regulation (NDPR), and any other relevant legal requirements.
6.7 Data Retention and Deletion
We retain your personal data only as long as necessary to provide the Service, comply with legal obligations, resolve disputes, and enforce our agreements. You may request deletion of your data by contacting us, and we will comply unless retention is required by law or for legitimate business purposes.
7. Intellectual Property Rights
7.1 Ownership
All content, materials, and features made available through the Service, including but not limited to software, code, text, graphics, images, logos, trademarks, trade names, audio, video, and other materials ("LEETA Content"), are owned by or licensed to LEETA and are protected by intellectual property laws in Nigeria and internationally.
7.2 Limited License
LEETA grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service and LEETA Content solely for your personal or business use in accordance with these Terms.
7.3 Restrictions
You may not, without prior written permission from LEETA:
- Copy, reproduce, distribute, publish, display, or create derivative works of any LEETA Content.
- Reverse engineer, decompile, or attempt to extract the source code of any software within the Service.
- Use any of LEETA’s trademarks, trade names, or branding without authorization.
7.4 User Rights
You retain ownership of any content you submit, upload, or post on the Service, subject to the license you grant LEETA under Section 4 (User Content).
7.5 Third-Party Rights
LEETA respects the intellectual property rights of third parties and expects users of the Service to do the same. You may not upload, post, or otherwise share any content that infringes upon the intellectual property or proprietary rights of any third party. LEETA is not responsible for monitoring or policing such rights, but we reserve the right to remove any content alleged to infringe third-party rights and to terminate accounts of repeat infringers. 8. Links to Third-Party Sites and Content
The Service may include links to third-party websites or content ("Third-Party Content") provided as a convenience. LEETA does not control and is not responsible for any Third-Party Content, including its accuracy, reliability, or policies. Accessing Third-Party Content is at your own risk, and you should review the applicable terms and privacy policies of any third-party site or service you use. The inclusion of any link does not imply endorsement by LEETA.
9. Termination
9.1 Termination by the Company
We may suspend or terminate your access to the Service, in whole or in part, at our sole discretion, without prior notice or liability, for any reason, including but not limited to:
- violation of these Terms,
- fraudulent, unlawful, or abusive activity,
- failure to pay any fees or charges due, or
- conduct that may harm Leeta, its users, or third parties.
9.2 Termination by the User
You may terminate your account and discontinue use of the Service at any time by following the account closure instructions provided on our platform or by contacting us directly.
9.3 Effect of Termination
Upon termination:
- Your right to access and use the Service will immediately cease.
- Certain provisions of these Terms, including but not limited to Intellectual Property Rights, Privacy and Data Protection, Limitation of Liability, and Governing Law, will survive termination.
- We reserve the right to retain, delete, or anonymize your account information and transaction records as required by law or for legitimate business purposes.
9.4 Force Majeure
LEETA shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, government actions, strikes, pandemics, or network failures. Performance will be suspended for the duration of such events.
10. Warranty Disclaimer
10.1 “AS IS” and “AS AVAILABLE”
The Service is provided to you on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory.
10.2 No Guarantees
To the fullest extent permitted by law, Leeta expressly disclaims all warranties, representations, and conditions, including but not limited to warranties of merchantability, fitness for a particular purpose, title, accuracy, reliability, security, or non-infringement.
10.3 Service Interruptions
We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components, or that any defects will be corrected.
10.4 User Responsibility
You assume all responsibility and risk for your use of the Service and your interactions with vendors, consumers, and other users. Any material downloaded or otherwise obtained through the Service is accessed at your own discretion and risk.
10.5 Jurisdictional Exceptions
Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, some of the above disclaimers may not apply to you, and our warranties will be limited to the minimum extent required by applicable law.
11. Limitation of Liability
Notwithstanding any damages that you might incur, the entire liability of Leeta, its affiliates, directors, officers, employees, licensors, or partners under any provision of these Terms, and your exclusive remedy, shall be limited to the greater of (a) the total amount actually paid by you through the Service in the three (3) months preceding the claim, or (b) One Hundred Thousand Naira (₦100,000) if you have not purchased anything through the Service.
To the maximum extent permitted by applicable law, in no event shall Leeta, its affiliates, directors, officers, employees, licensors, or partners be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages whatsoever, including but not limited to loss of profits, data, goodwill, business interruption, personal injury, loss of privacy, or other intangible losses, arising out of or in any way related to the use of or inability to use the Service, even if we have been advised of the possibility of such damages and even if a remedy fails of its essential purpose.
If you have a dispute with one or more users of the Service, including vendors or consumers, you release Leeta and its affiliates, directors, officers, employees, and agents from any claims, demands, or damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages; in such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms of Use and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
12.2 Informal Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the parties agree to first attempt in good faith to resolve the matter informally by notifying the other party in writing and negotiating for at least thirty (30) days before pursuing formal remedies.
12.3 Arbitration
If the dispute is not resolved informally within the 30-day period, the parties agree that the dispute shall be finally resolved by arbitration in accordance with the Arbitration and Mediation Act 2023. The arbitration shall be conducted by a single arbitrator agreed upon by both parties, or, failing agreement, appointed by the relevant arbitral institution in Nigeria. The place of arbitration shall be Lagos, Nigeria. The language of the arbitration shall be English, and the award rendered by the arbitrator(s) shall be final and binding on the parties.
12.4 Jurisdiction for Court Matters
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any competent court in Nigeria to protect its intellectual property rights, confidential information, or to prevent imminent harm, without waiving the right to arbitration of other disputes.
12.5 Waiver of Class Action
To the maximum extent permitted by law, all disputes shall be resolved on an individual basis. Class or consolidated actions are waived by both parties.
13. General Provisions
13.1 User Feedback
By submitting feedback, suggestions, or ideas (“Feedback”) to the Company regarding the Service, you grant the Company a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Feedback for any purpose, including commercial purposes, without any obligation of compensation to you.
13.2 Electronic Communications Consent
For contractual purposes, you: a. Consent to receive communications from us in electronic form via the email address you have submitted; and b. Agree that all Terms of Use, agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications would satisfy if it were in writing.
The foregoing does not affect your non-waivable rights.
We may also use your email address to send you other messages, including information about the Service and special offers. You may opt out of such emails by changing your account settings, using the “Unsubscribe” link in the message, or by sending an email to sales@leeta.com. Opting out may prevent you from receiving messages regarding the Site, the Service, or special offers.
13.3 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable for any reason, the remaining provisions shall remain in full force and effect.
13.4 Waiver
No waiver of any term or condition in these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and the Company’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
